Ryan Wells is a Senior Director with Alvarez & Marsal Taxand, LLC in the Compensation and Benefits practice. His primary areas of experience are in compensation design and implementation.
Ryan provides advice to clients related to a variety of compensation matters, including executive compensation plan design, compensation issues during a restructuring, and compensation related matters in M&A transactions.
Ryan has experience with benchmarking compensation, evaluation and design of annual and long-term incentive programs, golden parachute rules (IRC Section 280G), accounting for equity-based incentive awards, deferred compensation (IRC Section 409A), and deductibility of executive compensation (IRC Section 162(m)).
Ryan also helps companies design incentive and retention plans during restructuring/bankruptcy, including designing Key Employee Incentive Programs (“KEIPs”) for Insiders, Key Employee Retention Plans (“KERPs”) for non-Insiders, and emergence grants.
With over 10 years of compensation and benefits experience, Ryan has worked with clients across various industries, including: energy, communications, retail, healthcare, and private equity.
Ryan received a Master in Professional Accounting and Bachelor of Business Administration from The University of Texas at Austin. Ryan is a Certified Public Accountant (CPA).
